# How do you verify a newsletter's subscribers before buying it?

Short answer: Verify engagement, not the subscriber count: screen-share the sending platform and check clicks and unique opens per issue for 12 months, where subscribers came from, and paid or sponsor revenue backed by Stripe and invoices. Ask how readers opted in, because an imported or bought list can hurt deliverability and break anti-spam rules.

## Check a listing now, free

FirstPass Memo offers a free red-flag checker for business-for-sale listings and, during the beta, a free first-pass memo on a specific listing you send. Paste any listing below for payback, the asking multiple and its red flags. Nothing you paste leaves your browser. Open the full checker (https://firstpassmemo.com/checker/) to unlock every flag with its seller question.

## What makes a newsletter list valuable?

Not the subscriber count. A newsletter's value is engaged readers who open, click and pay, plus the revenue they produce. Lists can be padded with imports, giveaways and inactive addresses, so verify engagement and revenue, not size.

## Which five checks matter on a newsletter for sale?

- Live dashboard. Ask for a screen share of the sending platform (beehiiv, Substack, ConvertKit or similar) and pick the reports yourself.

- Engagement over time. Look at unique opens and clicks per issue for 12 months. Apple Mail Privacy Protection inflates opens, so weigh clicks more.

- Growth sources. Organic sign-ups, referrals and paid acquisition behave differently. Lists built through giveaways or co-registration tend to have low engagement.

- Revenue proof. Paid subscriptions show in Stripe; sponsorships show in invoices and deposits. Ask for both, and how many sponsors renewed.

- Consent. Ask how subscribers opted in. A list imported without consent can damage deliverability and break anti-spam laws once it is yours.

## Can the list be transferred?

Usually you export the subscribers and import them into your own account, and most platforms review large imports. Paid subscriptions billed through Stripe are a separate question: see how Stripe accounts transfer (https://firstpassmemo.com/answers/how-to-transfer-a-stripe-account-when-you-buy-a-saas/). Plan for a drop in engagement when the writer changes.

## What does the checker flag?

Run the listing through the free red-flag checker (https://firstpassmemo.com/checker/). Newsletter listings often raise no churn figure (https://firstpassmemo.com/flags/no-churn-figure/), one sponsor over 25% of revenue (https://firstpassmemo.com/flags/top-customer-over-25-percent/) and owner hours not stated (https://firstpassmemo.com/flags/owner-hours-not-stated/). ## What should you ask the seller?

- Can you screen-share opens and clicks per issue for the last 12 months?

- Where did subscribers come from, by source, and did you ever import or buy a list?

- What share of revenue comes from the largest sponsor, and are any sponsors booked after the sale?

- Who writes each issue, and how many hours a week does it take?
