# Generic reason for sale: why "other opportunities" deserves a question

Short answer: "Focusing on other projects" is the most common reason for sale and often true. It is also what a seller says when the real reason is falling revenue or a platform problem. The checker rates it low, but it is worth one direct question in your first message: why sell now?

Updated 7 October 2026 · Checker rule GENERIC_REASON

## When the checker raises it

Raised as low severity when the stated reason for sale mentions other opportunities, new projects or focusing on something else.

## Why it matters

The timing of a sale is information. A seller who is selling at a peak, or just before a known change, knows something you do not.

A good answer is specific: a new job, a family change, a different business that needs the time. A vague one proves nothing, but it puts more weight on the numbers.

## A worked example

Composite example, not a real listing

Printable planners shop, digital product Asking price: $18,000 Average monthly revenue: $1,000 Average monthly profit: $800 Business age: 3 years Owner hours: 3 hours per week Revenue verified via Shopify integration Reason for sale: want to focus on new projects

Traffic or revenue sources typed in: Organic search 45%, Social 35%, Email 20%.

What the red-flag checker (https://firstpassmemo.com/checker/) returns: payback of 22.5 months on average monthly profit, and this flag:

Low Generic reason for sale

A vague reason is common, but worth a direct question.

Ask: Why sell now, and what would you do with the business if it does not sell?

The same example also raises: Concentration not disclosed (https://firstpassmemo.com/flags/concentration-not-disclosed/).

## What to check

- Ask why the seller is selling now, rather than six months ago or six months from now.

- Ask what they would do with the business if it does not sell.

- Compare the answer with the last three months of figures.

## Questions to send the seller

- Why sell now, and what would you do with the business if it does not sell?

- Has the business been listed before or had offers that did not close? What happened?

- Will you start or keep any business in the same niche after the sale?
